Governance
Institutional governance.
The platform is built to meet the standards that sophisticated investors and strategic partners expect. We treat governance as seriously as the assets themselves.
01 / Structure
Clear accountability.
Authority and oversight are divided across four functions, supported by an advisory board. Each has a defined role, and each reports in a defined direction.
- Board of DirectorsBoard of Advisors
- Investment Committee
- Compliance and risk
- Financial oversight
Board of Directors
The Board sets the long-term direction of the platform and holds management accountable to shareholders and limited partners.
- Establishes long-term strategic direction
- Approves significant corporate transactions
- Oversees executive management
- Ensures management acts in the interests of shareholders and limited partners
Board of Advisors
Advisors contribute experience across entertainment, media, technology, institutional finance, and capital markets. The advisory board informs strategy and opens relationships. It does not make investment decisions.
- Provides strategic counsel to the Board and management
- Contributes sector and capital markets expertise
- Supports access to partners, talent, and opportunities
- Holds no authority over investment approvals
Investment Committee
The Committee independently reviews every acquisition, investment, financing, and capital deployment decision. No material investment proceeds without its approval.
Each transaction is evaluated for
- Financial analysis
- Strategic fit
- Risk assessment
- Due diligence
- Valuation
- Exit strategy
- Regulatory review
Compliance and risk management
Every investment opportunity passes through compliance procedures before closing. We view compliance as a strategic discipline, not only a regulatory requirement.
- Regulatory compliance
- Securities compliance
- Internal controls
- Enterprise risk management
- Anti-money laundering (AML) procedures, where applicable
- Know your customer (KYC) procedures, where applicable
Financial oversight
Financial transparency is central to how the platform operates.
- Financial statements prepared in accordance with Generally Accepted Accounting Principles (GAAP)
- Independent review by an external CPA firm, planned
- Institutional-quality accounting standards and internal controls
- Investor records and reporting through an independent third-party fund administrator
Strong governance is as important as strong assets. We hold ourselves to the standards we expect of every business we own.
